1. Parties

This Video Clip License Agreement ("Agreement") is entered into between:

• Licensor: Bdigital Media Services LLC ("Bdigital Media," "we," "us")
• Licensee: The purchasing party ("Purchaser," "you")

By completing a purchase, you agree to the terms of this Agreement.

2. Description of Work

Bdigital Media has filmed youth football game footage and produced individual video clips highlighting specific plays ("Clips"). Clips are delivered as high-quality video files.

3. License Grant

Upon purchase of a Clip, Bdigital Media grants you a non-exclusive, non-transferable, perpetual license to use the purchased Clip for personal, non-commercial purposes only, subject to the terms below.

You MAY:

• Download and keep the Clip for personal use
• Share the Clip privately with family and friends
• Post the Clip on personal social media accounts (Instagram, Facebook, TikTok, YouTube, X, etc.) with credit to Bdigital Media (tag @bdigital00 or include "Filmed by Bdigital Media")
• Use the Clip in personal highlight reels or montages for non-commercial purposes

You MAY NOT:

• Sell, sublicense, or redistribute the Clip to any third party
• Use the Clip for any commercial purpose, including advertising, promotion, paid endorsements, or monetized content
• Upload the Clip to stock footage platforms or media libraries
• Remove, alter, or obscure any watermarks or metadata embedded in the Clip
• Claim authorship or copyright ownership of the Clip
• Use the Clip in any manner that is unlawful, defamatory, or harmful

4. Copyright & Ownership

Bdigital Media retains full copyright and ownership of all Clips. This Agreement grants a license to use the Clip — it does not transfer ownership or copyright.

Bdigital Media reserves the unrestricted right to use, display, publish, and license any and all footage captured during the event for its own purposes, including portfolio display, social media, promotional materials, and licensing to third parties.

5. Pricing & Payment

• Payment is processed at the time of purchase through Stripe
• All sales are final — no refunds once a Clip has been downloaded

6. Delivery

• Clips are delivered digitally via a time-limited download link
• Download links expire after 1 hour but can be regenerated by refreshing the download page
• Bdigital Media is not responsible for download failures due to the Purchaser's internet connection or device compatibility

7. Minors & Consent

The footage contains images of minor children participating in youth sports. By purchasing a Clip:

• You represent that you are the parent or legal guardian of the child(ren) featured in the Clip, or that you have obtained consent from the parent or legal guardian
• You agree not to use the Clip in any way that exploits, harms, or endangers any child
• If a parent or guardian requests removal of their child's likeness from the gallery, Bdigital Media will comply within a reasonable timeframe

8. Credit & Attribution

When sharing Clips publicly (social media, websites, etc.), you agree to provide credit to Bdigital Media by tagging @bdigital00 or including "Filmed by Bdigital Media" in the caption or description.

9. Limitation of Liability

Bdigital Media provides Clips "as-is." We make no guarantees regarding the number of Clips available, the quality or angle of any individual play, or the availability of download links beyond 90 days from upload. Total liability shall not exceed the purchase price paid.

10. Termination

Bdigital Media reserves the right to revoke the license if the Purchaser violates any term of this Agreement, uses the Clip for commercial purposes without a separate license, or a valid legal request requires removal. Upon termination, the Purchaser must delete all copies.

11. Governing Law

This Agreement shall be governed by the laws of the State of Utah.

12. Acceptance

By completing a purchase, the Purchaser acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
